1. Overview of Services
These Terms & Conditions ("Terms") govern your access to and use of entospark.com ("Site") and any services, products, or engagements provided by Entospark, operated by Yodhastra (GSTIN: 08SFEPS1181F1ZZ), headquartered in Jaipur, Rajasthan, India ("Entospark," "we," "our," "us"). By accessing our Site, submitting an inquiry, or engaging our services, you ("Client," "User," "you") agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
Entospark provides technology, product, and business solutions including but not limited to custom software development, SaaS products, ERP/CRM systems, mobile applications, business automation, branding, UI/UX design, SEO, social media services, AI integrations, and related consulting ("Services").
Specific scope, deliverables, timelines, and pricing for any engagement will be defined separately in a signed proposal, quotation, statement of work, or service agreement ("Engagement Terms"). Where any conflict exists between these Terms and a signed Engagement Terms document, the Engagement Terms shall prevail for that specific engagement.
2. Eligibility
By using our Site or engaging our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
3. Quotations, Proposals & Payments
3.1 Quotations
All quotations, estimates, and proposals provided by Entospark are valid for the period stated therein and are subject to change based on scope revisions, additional requirements, or market conditions.
3.2 Payment Terms
Unless otherwise agreed in writing:
- Payment schedules, milestones, and amounts will be defined in the applicable Engagement Terms.
- Invoices are due within the timeframe specified on the invoice. Late payments may attract interest, suspension of services, or both, at Entospark's discretion.
- All fees are exclusive of applicable taxes (including GST) unless explicitly stated otherwise.
- Entospark reserves the right to pause or withhold delivery of work, deployment, source code, or credentials until outstanding payments are cleared in full.
3.3 Refunds
Refunds, if any, will be governed by the specific terms agreed upon in the Engagement Terms for that project. Work already completed, hours logged, or milestones delivered are generally non-refundable.
4. Client Responsibilities
To enable timely and effective delivery of Services, the Client agrees to:
- Provide accurate, complete, and timely information, content, credentials, and access required for the engagement
- Review and approve deliverables within reasonable timeframes
- Designate an authorized point of contact for approvals and feedback
- Ensure that any content, data, branding assets, or third-party materials provided to Entospark do not infringe on any third party's intellectual property or legal rights
Entospark is not liable for delays, errors, or issues arising from incomplete, inaccurate, or delayed information or approvals from the Client.
5. Intellectual Property
5.1 Client-Owned Deliverables
Upon full and final payment for a project, ownership of the final agreed-upon deliverables (e.g., custom code written specifically for that project, final designs) will transfer to the Client, unless otherwise specified in the Engagement Terms.
5.2 Entospark-Retained IP
Entospark retains full ownership of:
- Pre-existing tools, frameworks, libraries, boilerplates, internal systems, methodologies, and proprietary code developed independently of the Client engagement
- Entospark's own SaaS products, platforms, and internal innovation products
- Any general knowledge, techniques, or know-how developed or used during the engagement that is not specific and exclusive to the Client's deliverable
Entospark reserves the right to reuse general-purpose code, components, and non-confidential learnings across other projects and clients.
5.3 Portfolio & Marketing Rights
Unless the Client explicitly requests confidentiality in writing, Entospark reserves the right to showcase completed work, including screenshots, case studies, and project descriptions, in its portfolio, marketing materials, website, and social media, for promotional purposes.
5.4 Third-Party Materials
Entospark is not responsible for the licensing status of any third-party assets, stock content, fonts, plugins, or materials supplied by the Client for use in a project.
6. Limitation of Liability
6.1 No Warranty
Services and deliverables are provided on an "as-is" and "as-available" basis. While Entospark strives for high-quality, reliable work, we do not warrant that any software, website, or system will be entirely error-free, uninterrupted, or fully secure at all times.
6.2 Limitation of Damages
To the maximum extent permitted by applicable law, Entospark, its founders, employees, and contractors shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Any damages arising from downtime, third-party service failures (e.g., hosting providers, APIs, payment gateways), or force majeure events
In all cases, Entospark's total liability for any claim arising out of or related to the Services shall not exceed the total amount paid by the Client to Entospark for the specific engagement giving rise to the claim.
6.3 Third-Party Services
Entospark may integrate, recommend, or rely on third-party services (e.g., Vercel, Supabase, payment gateways, hosting providers, APIs). Entospark is not responsible for outages, data loss, security breaches, pricing changes, or policy changes made by these third parties.
7. Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public business information shared during the course of an engagement, and to use such information solely for the purpose of fulfilling the engagement. This obligation survives the completion or termination of the engagement, except where disclosure is required by law.
8. Maintenance, Support & Warranty Period
Unless otherwise specified in the Engagement Terms:
- Post-launch support and bug fixes are covered only for the specific warranty period (if any) stated in the applicable proposal or agreement.
- Ongoing maintenance, upgrades, feature additions, and support beyond the agreed warranty period are billed separately under a maintenance/retainer agreement.
- Issues caused by Client-side changes, third-party plugin conflicts, unauthorized modifications, or external factors outside Entospark's control are not covered under any warranty period.
9. Termination
Either party may terminate an ongoing engagement with written notice as specified in the Engagement Terms. Upon termination:
- The Client shall pay for all work completed and expenses incurred up to the effective date of termination.
- Entospark reserves the right to withhold final deliverables, source code, or access credentials until all outstanding payments are settled.
- Provisions relating to intellectual property, confidentiality, and limitation of liability shall survive termination.
Entospark reserves the right to suspend or terminate Services immediately in cases of non-payment, abusive conduct, illegal use of Services, or breach of these Terms by the Client.
10. Acceptable Use
You agree not to use our Site or Services to:
- Violate any applicable law or regulation
- Infringe on the intellectual property or privacy rights of others
- Transmit malicious code, spam, or engage in activity that disrupts our Site or Services
- Misrepresent your identity or affiliation
- Use our Services for any unlawful, fraudulent, or harmful purpose
Entospark reserves the right to refuse service, suspend access, or terminate engagements at its sole discretion where these conditions are violated.
11. Career, Internship & Certificate Program Terms
For individuals applying to or participating in Entospark's internship, training, or certificate programs:
- Acceptance into any program does not guarantee employment or a paid position.
- Certificates issued through verify.entospark.com reflect participation and completion of program requirements as assessed by Entospark, and do not constitute a professional license or formal degree.
- Entospark reserves the right to revoke or invalidate any certificate found to be fraudulently obtained or misrepresented.
- Interns and program participants are expected to follow Entospark's code of conduct; violations may result in removal from the program without compensation, where applicable.
12. Website Use
- Content on this Site (text, graphics, logos, design, and code) is the property of Entospark and protected under applicable intellectual property laws, unless otherwise credited.
- You may not copy, reproduce, distribute, or create derivative works from our Site content without prior written consent.
- We reserve the right to modify, suspend, or discontinue any part of the Site at any time without prior notice.
13. Indemnification
You agree to indemnify and hold harmless Entospark, its founders, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your breach of these Terms, misuse of our Services, or violation of any third-party rights.
14. Force Majeure
Entospark shall not be held liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including but not limited to natural disasters, government actions, internet or infrastructure outages, pandemics, or other unforeseen events.
15. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms or any engagement with Entospark shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan, India.
Where possible, both parties agree to attempt to resolve disputes amicably through good-faith negotiation before pursuing formal legal proceedings.
16. Changes to These Terms
Entospark reserves the right to update or modify these Terms at any time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our Site or Services after changes are posted constitutes your acceptance of the revised Terms.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
